Letter of Agreement

Contemporary Pages, LLC (referred to as “CP”) will develop an Internet site for You (referred to as "You" or "Dealer"). CP will create a clean, organized site focusing on the customer shopping experience, with a consistent theme throughout including headings, and buttons.

1.         Dealer may select any template for its Dealer Website.  Each template includes the features described in Attachment A.

2.         Dealer understands and agrees that CP and/or American Honda Motor Co., Inc. (“American Honda”) will upload various computer software, data and images to the Website, including, but not limited to computer programs that provide Website functionality, model information, corporate promotions information, vehicle inventory information, etc. and delete other such data and images.  Dealer hereby consents to such uploading and deletion and the changes to the Dealer Website resulting therefrom.  Dealer agrees that all such uploaded materials and code are and shall remain the property of CP, American Honda or their licensors (as the case may be) and are licensed to Dealer by CP solely for use in connection with the Website. CP is not authorized to access, collect, or process Personal Data transmitted by or through the Dealer Website. “Personal Data” means data that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with an identified or identifiable person or household.

3.         From time to time, Dealer will be asked to fill out forms and/or provide other information (“Dealer Data”) for inclusion on the Website or use by CP or American Honda to provide Website functionalities to Dealer.  Dealer hereby consents to such use of Dealer Data by CP and American Honda.  In addition, Dealer agrees that American Honda may de-identify and aggregate Dealer Data and utilize such aggregated data for any reasonable business purposes.

4.         Dealer understands and agrees that, with the following exceptions, the functionality and data that comprise the Website cannot be changed by Dealer.  The exceptions are as follows:

(a)   Dealer may opt out of including Current National Special Offers on its Website.

(b)   All price information will be compliant with Honda Power Equipment’s Internet Policy. Dealer should consult the Internet Policy for details.

(c)   Dealer may post Dealer-specific information pertaining to the sales and service of Power Equipment Products in the Reserved Dealer Space.  All such posting shall be in compliance with the Honda Power Equipment Dealer Sales Agreement and Honda Power Equipment’s Internet Policy.  In accordance with the Dealer Agreement, Dealer agrees to discontinue immediately any advertisement or form of advertising deemed objectionable upon request of American Honda.

5.         CP represents and warrants that the Website will substantially conform to, and provide the functionality set forth in, the Specifications provided by CP to Dealer attached hereto as Attachment A and that it will operate, manage and host the Website using high industry standards of workmanship and service.  CP shall operate the Website so that it is accessible by users via the Internet twenty-four (24) hours per day, seven (7) days per week, with the sole exception of schedule maintenance periods.

6.         CP will defend, indemnify and hold harmless the Dealer from and against any claim that the elements of the Website provided by CP infringe any rights, including, without limitation, intellectual property rights, of any third party.

7.         EXCEPT AS PROVIDED IN THIS AGREEMENT, THERE ARE NO OTHER AGREEMENTS, WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE,

RELATING TO THE SERVICES.  SERVICES PROVIDED ARE A GOOD FAITH EFFORTS SERVICE AND CP DOES NOT WARRANT THAT THE SERVICES SHALL BE ERROR-FREE OR WITHOUT INTERRUPTION.   UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM THIS AGREEMENT OR CP’S PROVISION OF THE SERVICES. 

8.         This Agreement is between Dealer and CP.  American Honda makes no representations or warranties pertaining to the Dealer Website or CP’s performance pursuant to this Agreement and hereby disclaims all warranties, express or implied, pertaining thereto, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose and

non-infringement.  American Honda shall have no liability to Dealer pertaining to this Agreement or the Dealer Website.  Dealer’s sole and exclusive remedies in connection with this Agreement and performance of the Dealer Website shall be provided by CP as set forth in this Agreement.

9.         In addition to any other grounds for termination set forth herein, this Agreement shall terminate upon the first to occur of (a) termination by American Honda of the Dealer Website Program or (b) termination of CP’s agreement with American Honda to manage such program or (c) termination of the  Dealer  Agreement  between American Honda and Dealer. Provided that Dealer is not in breach of this Agreement or any agreement with American Honda, CP will give Dealer at least sixty (60) days’ notice prior to terminating operation of the Website.

10.       Dealer agrees that, to the extent the provisions of this Agreement are intended to protect the interests of American Honda, Honda Motor Co., Ltd.  or any of their subsidiaries or affiliates, American Honda shall be a third-party beneficiary of such provisions with the independent right to enforce them against Dealer.

11.       Dealer agrees that CP may assign this Agreement to American Honda or any replacement vendor designated by American Honda (“Backup Vendor”), provided that American Honda or such Backup Vendor, as the case may be, assumes all of CP’s obligations hereunder.
